On July 5, 2016, HRG Group, Inc. issued a press release in connection with its previously announced agreement to sell its oil and gas business, Compass Production Partners, to CPP WI Holding Company, LLC, an affiliate of Mountain Capital Management, a newly formed Houston based energy private equity firm. A copy of the press release is attached hereto as Exhibit 99.1, and is incorporated herein by reference.
