Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 5, 2016, in order to pursue other endeavors, Mr. Eugene I. Davis notified the board of directors (the “Board”) of HRG Group, Inc. (the “Company”) of his resignation from the Board effective at the earlier of the date on which the Company’s 2016 annual general shareholders meeting is held and August 31, 2016.
In connection with the notice, Mr. Davis stated that he has no disagreements with either the Board or the Company.
